Welcome to Pinot Nobel (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Pinot Nobel website, including any content, functionality, products, services, memberships, newsletters, features, and communications offered through the website (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
1. Eligibility
You must be at least 21 years of age, or the minimum legal drinking age in your jurisdiction, whichever is higher, to access any portion of the Site related to alcoholic beverage content, purchases, reservations, tastings, memberships, or related services. By using the Site, you represent and warrant that you meet all applicable age requirements and that you may lawfully purchase, receive, possess, and use any products or services available through the Site.
You also represent and warrant that your use of the Site complies with all applicable laws, rules, and regulations in your jurisdiction.

Certain features of the Site may require you to create an account. If you create an account, you agree to provide accurate, current, and complete information and to keep such information updated. Submission of an order, reservation request, membership request, or booking request does not guarantee acceptance. We reserve the right to reject, cancel, limit, or refuse any order, reservation, or request at our sole discretion, including due to product availability, legal restrictions, pricing errors, suspected fraud, age-verification issues, shipping restrictions, or compliance concerns.
We may impose limits on quantities purchased, membership participation, reservation sizes, event attendance, or fulfillment frequency.
7. Pricing and Payment
All prices displayed on the Site are in U.S. dollars unless otherwise indicated. Prices, discounts, promotions, product descriptions, shipping charges, taxes, fees, and availability are subject to change at any time without notice.
You agree to provide valid payment information and authorize us and our third-party payment processors to charge the full amount due for your order, reservation, membership, event, or other purchase, including applicable taxes, shipping, service charges, and fees.
In the event of a pricing, typographical, or technical error, we reserve the right to cancel or refuse any order placed for the affected item or service, even if the order has been submitted or payment has been processed. If payment has already been collected and your order is canceled, we will issue an appropriate refund.
8. Shipping, Delivery, and Alcohol Compliance
Where permitted, alcoholic beverage purchases are subject to applicable federal, state, and local laws, including laws governing age verification, shipment, delivery, pickup, and possession. Not all products may be available for shipment to all jurisdictions. We reserve the right to limit or refuse shipments based on legal restrictions or compliance concerns.
You are solely responsible for ensuring that delivery to your address is lawful and that an eligible person of legal drinking age is available to receive any shipment requiring adult signature. We are not responsible for failed delivery attempts, returned shipments, delays caused by carriers, weather, compliance reviews, or laws that restrict or prohibit shipment to your location.
Risk of loss and title for products pass to you as permitted by applicable law and subject to the terms of the applicable sale.
9. Returns, Refunds, and Cancellations
All sales are final except as required by law or as otherwise expressly stated by us in a separate return, cancellation, or refund policy. Perishable goods, alcoholic beverages, event tickets, reservations, and limited-availability items may be non-refundable or subject to special cancellation terms.

11. Intellectual Property
The Site and all content on the Site, including but not limited to text, graphics, logos, images, photographs, artwork, labels, product names, trademarks, service marks, trade dress, videos, audio, software, code, design elements, layout, and compilation of content, are owned by or licensed to Pinot Nobel and are protected by applicable intellectual property and proprietary rights laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, display, publish, transmit, create derivative works from, sell, license, exploit, or otherwise use any Site content without our prior written consent.

If you submit reviews, comments, testimonials, photographs, social media tags, suggestions, ideas, messages, event submissions, or other content to us or through the Site (“User Content”), you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and otherwise use such User Content in connection with our business, marketing, and operations.
You represent and warrant that you own or control all rights in and to your User Content, that your User Content does not violate any law or third-party rights, and that your User Content is not false, misleading, defamatory, obscene, infringing, or otherwise objectionable.
We reserve the right, but not the obligation, to monitor, review, edit, remove, or refuse to post any User Content for any reason and at any time.

If you separately opt in, you may also receive marketing and promotional communications from us. You may unsubscribe from marketing emails at any time using the unsubscribe mechanism included in those messages or by contacting us.
Opting out of marketing messages will not prevent us from sending you transactional or service-related communications.
16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINOT NOBEL DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, COMPLETE, RELIABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PINOT NOBEL OR ITS OFFICERS, DIRECTORS, OWNERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY PRODUCTS OR SERVICES OFFERED THROUGH THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY OR DISCLAIMERS OF WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
18. Indemnification
You agree to defend, indemnify, and hold harmless Pinot Nobel and its officers, directors, owners, members, employees, agents, affiliates, licensors, service providers, and suppliers from and against any claims, actions, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your misuse of the Site, your User Content, your violation of any law, or your infringement of any third-party right.
19. Termination
We reserve the right, in our sole discretion and without notice, to suspend, restrict, or terminate your access to the Site or any portion of the Site at any time and for any reason, including if we believe you have violated these Terms or applicable law.
All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, disclaimers, limitations of liability, indemnification obligations, dispute provisions, and any accrued rights or obligations.

26. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms, conditions, policies, or rules expressly incorporated by reference or posted for specific Site features, products, reservations, events, memberships, or promotions, constitute the entire agreement between you and Pinot Nobel regarding the Site.
